GROUP EXECUTIVE DIRECTOR 4/07 - Present
Pursuant to desire of Ruler of Dubai to launch Noor Islamic Bank (NIB) with capital of $1 billion, joined the group to set up the Finance and Risk functions and the Corporate and Investment Bank. NIB opened on schedule January 7, 2008. Extensive involvement in selecting Treasury, Risk, Finance and Internet banking systems. Hired over 50 people, including CFO, Chief Risk Officer and Corporate Bank Head.  Drove implementation of policies and procedures relating to Risk (including the bank?s credit policies), Finance and Corporate and Investment Banking. Involved in international expansion/acquisition strategy setting. As head of the Investment Bank, opened 2008 with $500 million of mandated syndicated financings and pipeline of $2+ billion syndicated financings and sukuks (Islamic fixed income paper). Member of Asset and Liability Committee (ALCO), Global Risk Committee, Investment Committee.

Member of senior team managing restructure/workouts on portfolio of $2.0 billion in corporate loans to Argentine borrowers.  Involvement in Media, Utilities, Financial Institutions.  Negotiations involved large and diverse creditor groups (banks, bondholders, insurance companies, vulture funds), ranged from standstill agreements to full restructuring, required devising appropriate capital structure and valuing companies in view of potential debt for equity swaps.  Portfolio also included small and medium enterprises and leasing/ asset based finance exposure.  Based on NPV and in conjunction with distressed debt trading desk determined appropriate level to sell-down exposure.

Responsible for Citibank's businesses in Algeria, Morocco and Tunisia, with 280 employees, 9 branches, $900+ million in assets.  In a difficult environment, oversaw revenue increase from $31 million in 1998 to $50+ million in 2001.  Developed regional management/ backup structures -among which quality unit- to optimize use of existing talent and accelerate success transfer.  Direct management responsibilities for the Moroccan subsidiary.  Restructured the subsidiary and upgraded staff during a 25+% downsizing in a heavily pro-labor environment with powerful unions.  Strong focus on quality lead to ISO 9001 certification (12/99) of all of Citibank Tunis' onshore and offshore activities.  President of the Board of Directors of the American Chamber of Commerce in Morocco.

Ran Citibank's business in Tunisia consisting of onshore and offshore branches in Tunis and Sfax with $300+ million in assets and 90 employees.  Grew revenues from  $12 million to $18 million over two years.  Refocused the business from purely treasury related to a full service bank establishing a strong annuity base in the process.  Outlined strategy emphasizing heavy development of the local corporate franchise (small to mid-size companies with $3 to 20 million in annual sales) and more aggressive position taking in the treasury business.  Advisor to a major foreign cement company in its winning bid in what was then the largest Tunisian privatization (US$240 million).  Sold first credit default swaps on Tunisian government risk.  After assessing market potential, launched a consumer business encompassing deposit taking, consumer lending and debit cards.  Received high internal audit marks on both credit and operations audits. Implemented a strong quality culture and a policy of assisting other Citibank branches by lending or exporting top performers.  Member of the Board of Directors of the Tunisian American Chamber of Commerce.

Structured Finance - Loan Structuring, Syndications and Sales 10/93 - 4/96
Gained the mandates on, structured and syndicated over $40 billion in loans to US and Latin American corporations as well as to various Canadian governmental entities.  Interaction at CEO/CFO level with a client base including, among others, Xerox, Hewlett-Packard, Colgate-Palmolive, the Canadian government, Enersis and Compania de Telecomunicaciones de Chile of Chile, and Banco de Colombia.  Experience in project finance loan structuring and syndication.  Implemented standardization of Citibank's syndication process leading to a substantial improvement in cycle time and stronger brand image.

Real Estate Securitization Group 7/93 - 9/93
Responsible for advising the origination team on structuring new loans or restructuring existing loans for purchase by the securitization group.  Structured a bid on a $150 million ("MM") FDIC portfolio of residential real estate.  Updated and improved the group's securitization pricing model.  In addition, from 5/93 to 9/93, together with McKenzie & Company, researched and developed a strategic plan for Citibank's real estate business.

Corporate Debt Restructuring Group 6/91 - 6/93
Headed the team negotiating the restructure of over $400MM due Citibank, part of a $2.5 billion restructure of a corporation primarily involved in developing and managing real estate.  Substantially improved Citibank's position, reducing exposure by $100+MM, securing additional collateral valued at $150+MM, and generating incremental earnings of $5MM a year.  Restructured $330MM of commercial office building loans, reducing exposure by $20MM in a first step and generating in excess of $4MM in fees.

Corporate Finance - Shopping Centers Group 1/88 - 6/93
Managed three of the largest relationships in the Shopping Centers Group, with $625MM total commitments and $570MM in outstandings.  Headed negotiations for a $700MM multi-division department store financing; and co-headed team negotiating a $1.2 billion multi-division department store real estate financing.  Negotiated and closed construction and permanent financing exceeding $700MM, including shopping centers, office buildings, and hotels.

A Belgian HVAC company member of a consortium contracted by the Saudi Arabian National Guard to build two hospital complexes (total contract of $2 billion, HVAC component $250MM).  Based in Jeddah, Saudi Arabia was responsible for setting up and managing the accounting, administrative and personnel departments handling ACMT's contracts in Saudi Arabia, including the National Guard project.  Total billings of $175+MM; peak work force of 15O people.
